At last it has happened !!! It is now official EATTA has been officially registered as a company limited by guarantee, registered under company number CPR/2009/10443 (the Company). The new company will retain the same name “East African Tea Trade Association.”
Upon the receipt of the registration certificate, the Management Committee met on 9th October 2009 and the following resolutions were effected:
- East African Tea Trade Association hereinafter referred to as “the Association” was dissolved.
- The current Management Committee transformed itself into a Board of Directors.
- A new management structure for the Secretariat was effected.
- All or any part of the undertaking, property assets, liabilities and staff of the Association were transferred to East African Tea Trade Association (the “Company”) with effect from 9th October 2009, through proper legal transfer instruments.
- East African Tea Trade Association (the “Company”) acquired and took over all or any part of the undertaking, property assets, liabilities and staff of the Association with effect from 9th October 2009.
- All the current members of the Association were transferred to the East African Tea Trade Association (the “Company”).
In the interim period, the Rules & Regulations of the Association remain valid for the Company to the extent that they are not in contravention of the Memorandum & Articles of Association.
The Rules & Auction Conditions Sub-Committee will create a new Rules Book incorporating the constitutional changes and other changes that affect the trade.
Once the new Rules Book is ready the Board will meet to issue a 21 day notice for an Extra-ordinary General Meeting (EGM) to approve the new rules and effect any changes that will be proposed therein.
The Board effected a smooth and swift transition without affecting the day to day business of the EATTA.
